1.Acceptance of Terms
By accessing or using the SynPop platform, API, or any related services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including individual developers, organizations, and API customers.
2.Description of Service
SynPop provides an LLM-powered synthetic population simulation platform that allows users to model how distinct demographic segments respond to questions, stimuli, and scenarios. The Service includes a web application, REST API, and any future products offered by Logos Nova LLC ("Company", "we", "us").
3.Accounts and API Keys
You are responsible for maintaining the confidentiality of your account credentials and API keys. All activity that occurs under your account is your responsibility. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
4.Acceptable Use
Your use of the Service must comply with our Acceptable Use Policy. You may not use the Service to generate, distribute, or facilitate content that is harmful, deceptive, discriminatory, or illegal. Synthetic population outputs are probabilistic models and must not be used as direct representations of real individuals or groups. See our full Acceptable Use Policy for detailed prohibited uses.
5.Credits, Billing, and Refunds
Access to the SynPop API is metered in credits. Credits are purchased in advance and consumed per API call as documented. Credits are non-transferable and non-refundable except where required by applicable law. We reserve the right to modify credit pricing with 30 days' notice. Unused credits expire 12 months after purchase.
6.Intellectual Property
The Service, including all software, algorithms, and documentation, is owned by Logos Nova LLC and protected by intellectual property laws. You retain ownership of inputs you submit to the Service. You grant Logos Nova LLC a non-exclusive license to process your inputs to provide the Service. Outputs generated by the Service may be used for your lawful business purposes subject to these Terms.
7.Data and Privacy
We collect and process data as described in our Privacy Policy. By using the Service, you consent to such processing. You are responsible for ensuring that any personal data you submit complies with applicable privacy laws, including obtaining necessary consents.
8.Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. LOGOS NOVA LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
9.Indemnification
You agree to indemnify and hold harmless Logos Nova LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10.Modifications to Terms
We may update these Terms from time to time. We will notify registered users by email or by posting a notice on the Service. Continued use of the Service after the effective date of revised Terms constitutes acceptance. If you disagree with changes, you must stop using the Service.
11.Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
